Uttam Threads Pvt Ltd is a private limited company incorporated under the Companies Act, 2013, with its registered office and operational facilities in Madhubani, Patna, and Bengaluru, India. We specialize in premium designer clothes and accessories featuring unique handmade traditional artwork, sourced directly from skilled artisans across various regions of India, including Madhubani for iconic painting styles, Rajasthan for block printing, and other heritage centers. Our products are crafted using time-honored techniques and sold both domestically within India and internationally through our e-commerce platform at [www.madhuranga.in] (the "Website"), mobile applications, and related digital interfaces (collectively, the "Services").
These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("you," "your," or "user/customer") and Uttam Threads Pvt Ltd regarding your access to, use of, and transactions through the Services. By accessing the Website, registering an account, placing an order, submitting information, or otherwise engaging with our Services, you affirm that you have read, understood, and agree to be bound by these Terms, along with our Privacy Policy, Shipping Policy, Exchange and Return Policy, and any other referenced policies or guidelines (collectively, the "Policies"). If you do not agree with any part of these Terms, you must immediately cease using the Services.
We reserve the right to modify, update, or revise these Terms at any time. Changes will be posted on the Website with the updated effective date and, where required by law, notified via email to registered users. Your continued use of the Services after such changes constitutes your unconditional acceptance of the revised Terms. It is your responsibility to review these Terms periodically.
These Terms are governed by the laws of India, including but not limited to the Indian Contract Act, 1872, the Information Technology Act, 2000, and the Consumer Protection Act, 2019. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts in Patna, India.
1. Acceptance of Terms and Eligibility

Your use of the Services creates a contractual relationship with Uttam Threads Pvt Ltd. You represent and warrant that: - You are at least 18 years old or the age of majority in your jurisdiction, and possess the legal capacity to enter into binding contracts.

- You are not barred from using the Services under applicable laws or these Terms.
- All information you provide is accurate, truthful, and up-to-date.
1.2 Prohibited Conduct
You agree not to:

- Violate any applicable laws, including export/import regulations for cultural artifacts.
We may monitor usage for compliance and take action, including reporting to authorities.
1.3 Account Termination
We reserve the right to refuse service, suspend, or terminate your account and access to the Services at our sole discretion, with or without notice, for any reason, including violations of these Terms, suspicious activity, or non-payment. Upon termination, you must cease all use, and any outstanding obligations (e.g., payment for delivered orders) survive.
2. User Accounts, Registration, and Security
2.1 Account Creation
Certain features, such as order placement, order tracking, Wishlist management, customer wallet usage, and personalized recommendations, require a registered account. To create an account: - Provide accurate personal details, including name, email, phone number, shipping/billing address, and payment information.
- Agree to our Privacy Policy for data handling.
- Verify your account via email or SMS OTP as prompted.
2.2 Account Responsibilities
You are solely responsible for:
- Maintaining the confidentiality of your login credentials.
- All activities conducted through your account, including those by authorized or unauthorized third parties.
- Promptly updating account information and notifying us of any changes or security breaches at customercare@madhuranga.in.
- Monitoring your account for unauthorized transactions and reporting them within 24 hours.
2.3 Account Security Measures
We implement reasonable security practices, including encryption and multi-factor authentication where available. However, you acknowledge that no system is impenetrable, and you use the Services at your own risk. We are not liable for losses due to compromised credentials unless resulting from our gross negligence.
2.4 Account Suspension or Closure
We may suspend or close accounts for inactivity (e.g., 12 months), policy violations, or at your request. Upon closure, wallet balances may be forfeited if not redeemed, subject to legal retention periods.
3. Orders, Payments, and Order Fulfilment
3.1 Order Process
- Placement and Confirmation: Orders are placed via the Website or app. Upon submission, you receive an automated acknowledgment. Orders are subject to our acceptance, which we confirm via email within 24-48 hours. Factors influencing acceptance include stock availability, payment verification, and compliance checks.
- Made-to-Order Nature: As detailed in our Shipping Policy, products commence production post-confirmation, incorporating artisan craftsmanship. Custom orders (e.g., specific motifs or sizes) require detailed specifications; inaccuracies are your responsibility.
- Order Modifications: Limited to pre-production stage; post-production changes are not permitted except in exceptional cases per our Exchange and Return Policy.
3.2 Pricing, Taxes, and Fees
- Prices are listed in INR and exclude shipping, taxes (e.g., GST), duties, customs fees, and surcharges. International prices may include currency conversion fees.
- We reserve the right to correct pricing errors, in which case we will notify you for confirmation or cancellation with refund.
- Promotional discounts, coupons, or loyalty points are non-transferable and subject to expiration or revocation.
3.3 Payment Terms
- Accepted methods include credit/debit cards, net banking, UPI, wallets (e.g., Paytm), and international gateways like PayPal.
- Payments are processed securely via PCI DSS-compliant providers. You authorize recurring charges for subscriptions or installments if opted.
- All sales are final upon production initiation; refer to Exchange and Return Policy for exceptions.
- Failed payments may result in order cancellation and account holds.
3.4 Fulfillment and Delivery
- Timelines: Up to 45 days for manufacturing and shipping, with tracking provided.
- Risk of Loss: Transfers to you upon handover to carriers, per Incoterms (e.g., DAP for international).
- International Compliance: Orders may require export licenses for cultural items; delays or seizures are your risk.
4. Product Descriptions, Quality, and Availability
4.1 Descriptions and Variations
Product details aim for accuracy but may vary due to handmade processes. Images are illustrative; actual colors, textures, and dimensions may differ slightly due to screen settings, lighting, or natural materials. Natural dyes (e.g., from indigo or madder) may exhibit batch variations.
4.2 Availability and Substitutions
Products are subject to availability. In case of shortages, we may offer alternatives of equal or greater value or cancel with refund. Bulk or custom orders require pre-approval.
4.3 Compliance with Standards
Products meet Indian quality standards and are free from prohibited substances. International buyers must ensure compliance with local import regulations.
5. Intellectual Property Rights and Restrictions
5.1 Ownership
The Website and Services contain proprietary content protected by copyrights, trademarks, designs, and patents under Indian laws (e.g., Copyright Act, 1957; Trade Marks Act, 1999; Designs Act, 2000) and Berne Convention.
5.2 Usage Restrictions

- Prohibited: Copying designs for replication, using AI to generate derivatives, or commercial resale without license.
- Teardown Prohibition: Disassembling products (e.g., unraveling threads) for reverse engineering or duplication is strictly forbidden and may constitute IP infringement.

Products are for personal consumption. Commercial resale, wholesale distribution, or use in merchandise without written permission violates these Terms and may lead to cease-and-desist
notices, damages claims, or partnership termination with artisans.
5.4 User Content License
Reviews, images, or suggestions you submit grant us an irrevocable, worldwide, royalty-free license to use, adapt, and commercialize them.
5.5 Enforcement
We employ monitoring tools and cooperate with authorities to protect IP. Infringers face legal action, including account bans and cost recovery.
6. Product Use, Care Guidelines, and Sustainability
6.1 Care Instructions
For longevity:
- Washing: Prefer professional dry cleaning. Hand/machine wash in cold water with pH-neutral detergent; avoid bleach. Natural dyes may fade gradually with repeated washes—expected for organic pigments.
- Drying: Air dry in shade; avoid dryers to prevent shrinkage or dye runoff.
- Ironing: Low heat, inside-out to protect artwork.
- Storage: Cool, dry, pest-free environment; use acid-free tissue for folds.Â
6.2 Usage Guidelines

7. Warranties, Disclaimers, and Limitation of Liability
7.1 Limited Warranty
30-day coverage for major defects only, excluding normal wear, misuse, or handmade variations.
7.2 Disclaimers
Services "AS IS"; no implied warranties. We disclaim liability for third-party content or links.
7.3 Limitation
Aggregate liability capped at order value. No consequential damages.
8. Indemnification and Insurance
8.1 Indemnification
You agree to indemnify, defend, and hold harmless Uttam Threads Pvt Ltd, its affiliates, directors, officers, employees, agents, and licensors from and against any and all claims, damages, losses, liabilities, obligations, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (i) your use of the Services; (ii) your violation of these Terms or any applicable laws; (iii) your infringement of any third-party rights, including intellectual property rights; (iv) any content you submit or transmit; or (v) your negligence or willful misconduct. This indemnification obligation survives termination of these Terms.
8.2 Insurance
We maintain appropriate commercial general liability insurance, product liability insurance, and other coverage for our operations as required by law. However, this does not extend to coverage for your personal losses, damages, or liabilities arising from product use, delivery issues, or third-party claims. You are encouraged to maintain your own insurance for valuable items and international shipments.
8.3 Privacy Policy Reference
Your use of the Services involves the collection, use, and disclosure of personal information, which is governed by our Privacy Policy. By agreeing to these Terms, you acknowledge and consent to the practices described in our Privacy Policy, including data sharing with service providers, affiliates, and legal authorities as necessary. Please refer to our Privacy Policy for detailed information on how we collect, process, store, and protect your data in compliance with the Digital Personal Data Protection Act, 2023 (DPDP Act), and other applicable regulations. Any disputes related to privacy or data handling shall be resolved in accordance with the dispute resolution provisions in Section 11.
9. Confidentiality and Data Protection
All communications between you and the Company, including emails, chat logs, order details, custom specifications, and support interactions, are confidential and proprietary. You agree not to disclose, publish, reproduce, or disseminate such information publicly, including on social media, blogs, review platforms, or any other forums, without our prior written consent. Unauthorized disclosure may result in immediate account termination, legal action for breach of confidence, and damages.
We are committed to protecting your personal data and comply with India's Digital Personal Data Protection Act, 2023 (DPDP Act), as well as international standards for cross-border transfers. Our data protection practices, including security measures, retention periods, and your rights (e.g., access, rectification, erasure), are detailed in our Privacy Policy, which is incorporated by reference into these Terms.
10. Force Majeure and Events Beyond Control
We shall not be liable for any failure or delay in performing our obligations under these Terms if such failure or delay is caused by or results from events beyond our reasonable control, including but not limited to acts of God, natural disasters, floods, earthquakes, pandemics, epidemics, governmental actions, embargoes, wars, riots, civil unrest, strikes, labor disputes, shortages of artisans or raw materials (e.g., natural dyes), supply chain disruptions, power outages, cyber-attacks, or changes in export/import regulations. During such events, we may extend performance timelines proportionately and notify affected customers via email or the Website.
11. Termination, Governing Law, and Dispute Resolution
11.1 Termination
We may terminate or suspend your access to the Services at any time for violations of these Terms, without notice or liability. Upon termination, your right to use the Services ceases, but obligations such as intellectual property restrictions, confidentiality, payment duties, and indemnification survive indefinitely.
11.2 Governing Law
These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of laws principles. The applicability of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.
11.3 Dispute Resolution and Mediation
Any dispute, controversy, claim, or difference arising out of or in connection with these Terms, including their existence, validity, interpretation, performance, breach, or termination ("Dispute"), shall first be attempted to be resolved amicably through direct negotiations between the parties.
If the Dispute cannot be resolved through negotiations within 30 days from the date the Dispute first arises, the customer shall undergo mandatory mediation before instituting any suit or legal proceedings. Mediation shall be conducted in Patna, India, under the Mediation Act, 2023, or any applicable rules, by a neutral mediator appointed by mutual agreement or through an established mediation center. The mediation process shall be completed within 60 days, and the costs shall be shared equally unless otherwise agreed.
If mediation fails to resolve the Dispute, either party may pursue binding arbitration under the Arbitration and Conciliation Act, 1996, in Patna, with a sole arbitrator appointed as per the rules of the Patna High Court or an arbitration institution mutually agreed upon. The seat and venue of arbitration shall be Patna, India, and the language shall be English. The arbitration award shall be final and binding.
11.4 Jurisdiction
Subject to the mandatory mediation and arbitration provisions above, all Disputes shall be subject to the exclusive jurisdiction of the competent courts in Patna, India. No other courts shall have jurisdiction over any Dispute arising from these Terms. For international users, this jurisdiction clause is agreed upon as a material term of the contract.
12. Miscellaneous Provisions
12.1 Amendments
We may amend these Terms at any time; continued use constitutes acceptance. Material changes will be notified via email or Website notice.
12.2 Severability
If any provision is held invalid or unenforceable, the remaining provisions remain in full force.
12.3 Waiver
No waiver of any breach constitutes a waiver of subsequent breaches.
12.4 Entire Agreement
These Terms, along with the Policies, constitute the entire agreement, superseding prior oral or written understandings.
12.5 Assignment
We may assign these Terms to affiliates or successors; you may not without our prior written consent.
12.6 Notices
Notices to you via email or Website posting; to us at customercare@madhuranga.in or registered address.
12.7 Third-Party Beneficiaries
No third parties have rights under these Terms except affiliates and successors.
12.8 Electronic Communications
You consent to electronic records and signatures, which satisfy "writing" requirements under Indian law (IT Act, 2000).
12.9 Force Majeure Extension
Delays due to force majeure events extend performance timelines proportionately.
